1. Agreement to Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you ("User," "you," or "your") and Scribbes ("Company," "we," "us," or "our") governing your access to and use of the Service.

Definition of Service: "Service" means the Scribbes web-based software platform, accessible via our website, that provides voice-to-text conversion, content generation, and related features as described in Section 3.

By accessing or using the Service, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy, which is incorporated herein by reference. If you do not agree, you must immediately cease using the Service.

We reserve the right to modify these Terms at any time. Material changes will be communicated via email or prominent notice on the Service. Your continued use after such notice constitutes binding acceptance of the updated Terms.

2. Eligibility and Account Registration

2.1 Age Requirements

You must be at least 13 years of age to use the Service. If you are between 13 and 18 years of age (or the age of legal majority in your jurisdiction), you may only use the Service under the supervision of a parent or legal guardian who agrees to be bound by these Terms.

By using the Service, you represent and warrant that you meet these age requirements.

3. Description of Service

Scribbes is a web-based software service that provides voice-to-text conversion and content generation tools, including:

• Voice recording and audio upload
• Speech-to-text transcription
• AI-powered content generation (summaries, structured text, podcast scripts)
• Text-to-speech audio generation
• Content editing and formatting tools

The Service is offered on a subscription basis with tiered plans (Free, Starter, Creator, Studio) that differ in features, usage limits, and recording duration. Specific plan details are available on our pricing page and may change with notice.

Service Limitations: The Service relies on third-party AI and speech processing technologies. Output accuracy, quality, and availability are not guaranteed and may vary based on factors including audio quality, language, accent, and system load.

4. Acceptable Use Policy

4.1 Permitted Use

You may use the Service only for lawful purposes and in accordance with these Terms. You agree to use the Service in a manner consistent with all applicable laws and regulations.

4.2 Prohibited Activities

You agree NOT to:

• Use the Service for any illegal, harmful, or fraudulent purpose
• Upload, transmit, or distribute content that infringes intellectual property rights
• Upload content that is defamatory, obscene, threatening, harassing, or hateful
• Attempt to gain unauthorized access to the Service or related systems
• Reverse engineer, decompile, or disassemble any part of the Service
• Use automated systems (bots, scrapers) to access the Service without permission
• Interfere with or disrupt the Service or servers
• Impersonate any person or entity or misrepresent your affiliation
• Collect or harvest personal information of other users
• Use the Service to transmit viruses, malware, or other harmful code

4.3 Enforcement

We reserve the right to investigate and take appropriate action against anyone who violates this Acceptable Use Policy, including removing content, suspending or terminating accounts, and reporting to law enforcement authorities.

5. User Content and Intellectual Property

5.1 Your Content

You retain all ownership rights to the content you submit to the Service, including voice recordings, text, and any generated outputs ("User Content"). By submitting User Content, you grant us a limited, worldwide, non-exclusive, royalty-free license to:

• Store, process, and transmit your User Content as necessary to provide the Service
• Use third-party services (speech-to-text, AI processing) to deliver Service features
• Create backups and ensure data redundancy

This license exists only for the duration necessary to provide the Service and terminates when you delete your content or account, except where retention is required by law.

Machine Learning: We do not use User Content to train general-purpose machine learning models.

5.2 Representations and Warranties

By submitting User Content, you represent and warrant that:

• You own or have the necessary rights to use and authorize us to use the content
• Your content does not violate any third-party rights
• Your content complies with these Terms and applicable laws

5.3 Our Intellectual Property

The Service, including its design, features, functionality, and all content provided by us (excluding User Content), is owned by Scribbes and is protected by copyright, trademark, and other intellectual property laws.

You may not copy, modify, distribute, sell, or lease any part of our Service or included software, nor may you reverse engineer or attempt to extract the source code of that software, except as expressly permitted by law.

5.4 Feedback

If you provide us with feedback, suggestions, or ideas about the Service, you grant us the right to use such feedback without any obligation to you.

6. Subscriptions and Payments

6.1 Subscription Plans

Scribbes offers subscription plans with varying features and usage limits as described on our pricing page. We reserve the right to modify pricing, features, or discontinue plans with at least 30 days' notice to active subscribers.

6.2 Payment Processing

Payment information is securely processed and stored. By subscribing, you authorize us to charge your selected payment method on a recurring basis according to your billing cycle (monthly or annual).

We use industry-standard security measures to protect your payment information. Your complete payment card information is encrypted and stored securely in compliance with PCI DSS standards.

6.3 Automatic Renewal

Subscriptions automatically renew at the end of each billing period unless you cancel before the renewal date. You will be charged the then-current rate for your plan.

6.4 Cancellation

You may cancel your subscription at any time through your account settings or by contacting support. Cancellation takes effect at the end of your current billing period. You will retain access to paid features until the end of the paid period.

6.5 Refunds

Refund requests are subject to our Refund Policy, available at /refund-policy. Payment disputes must be directed to us before initiating chargebacks with your payment provider. Fraudulent chargebacks may result in account termination and legal action.

6.6 Taxes

Fees are exclusive of applicable taxes unless otherwise stated. You are responsible for paying all taxes associated with your use of the Service.

6.7 Price Changes

We may change subscription prices at any time. For existing subscribers, price changes will take effect at the next renewal after we provide at least 30 days' notice.

7. Free Trial and Demo Access

We may offer free trials or demo access to certain features. Free trials are subject to the terms presented at sign-up. We reserve the right to modify or discontinue free trials at any time without notice.

Demo usage without an account is provided "as-is" with limited functionality and no data persistence. Demo content is not saved and is automatically deleted after processing.

8. Service Availability and Modifications

8.1 Service Availability

We strive to maintain high availability of the Service but do not guarantee uninterrupted or error-free operation. The Service may be temporarily unavailable due to maintenance, updates, or circumstances beyond our control.

8.2 Modifications to Service

We reserve the right to modify, suspend, or discontinue any aspect of the Service at any time, with or without notice. We will not be liable to you or any third party for any modification, suspension, or discontinuation of the Service.

8.3 Updates and Upgrades

We may release updates, upgrades, or new features. Your continued use of the Service constitutes acceptance of such changes.

10. Disclaimers and Warranties

10.1 "As Is" and "As Available"

THE SERVICE IS PROVIDED STRICTLY ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, OR COURSE OF PERFORMANCE.

10.2 No Guarantee of Accuracy, Completeness, or Reliability

WE MAKE NO REPRESENTATIONS OR WARRANTIES THAT:

• Transcriptions will be accurate, complete, or error-free
• Generated content will be suitable for your intended purpose
• The Service will be uninterrupted, secure, or free from bugs or errors
• Any defects will be corrected
• Third-party AI models will produce consistent or predictable results

You are solely responsible for reviewing, verifying, and validating all Service outputs before use. We disclaim all liability for any errors, omissions, inaccuracies, or consequences arising from your use or reliance on Service-generated content.

10.3 No Professional Advice

The Service does not provide and is not a substitute for professional advice (legal, medical, financial, tax, or otherwise). Content generated by the Service should not be relied upon for professional decisions. Consult qualified professionals for advice specific to your circumstances.

10.4 Third-Party Services

The Service integrates third-party technologies (speech recognition, AI models, payment processors). We disclaim all warranties regarding third-party service availability, accuracy, or performance. Third-party service failures do not constitute a breach of these Terms.

11. Limitation of Liability

11.1 Exclusion of Damages

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL SCRIBBES, ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, LICENSORS, OR SERVICE PROVIDERS BE LIABLE FOR ANY:

• INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES
• LOSS OF PROFITS, REVENUE, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES
• DAMAGES RESULTING FROM UNAUTHORIZED ACCESS TO OR ALTERATION OF YOUR CONTENT
• DAMAGES RESULTING FROM ERRORS, INACCURACIES, OR OMISSIONS IN SERVICE OUTPUTS
• DAMAGES RESULTING FROM RELIANCE ON SERVICE-GENERATED CONTENT
• DAMAGES RESULTING FROM THIRD-PARTY SERVICES OR CONTENT

THIS LIMITATION APPLIES REGARDLESS OF THE LEGAL THEORY (CONTRACT, TORT, NEGLIGENCE, STRICT LIABILITY, OR OTHERWISE) AND EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

11.2 Liability Cap

OUR TOTAL AGGREGATE LIABILITY TO YOU FOR ALL CLAIMS ARISING FROM OR RELATED TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE GREATER OF: (A) THE TOTAL AMOUNT YOU PAID TO US IN THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO LIABILITY, OR (B) ONE HUNDRED U.S. DOLLARS ($100.00).

11.3 Jurisdictional Limitations

Some jurisdictions do not allow exclusion or limitation of certain warranties or damages. In such jurisdictions, the above limitations and exclusions shall apply to the maximum extent permitted by applicable law.

12. Indemnification

You agree to indemnify, defend, and hold harmless Scribbes, its affiliates, and their respective officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, costs, or expenses (including reasonable attorneys' fees) arising out of or related to:

• Your use of the Service
• Your User Content
• Your violation of these Terms
• Your violation of any rights of another party
• Your violation of applicable laws or regulations

13. Dispute Resolution and Governing Law

13.1 Governing Law

These Terms shall be governed by and construed in accordance with the laws of India, without regard to its conflict of law provisions.

13.2 Informal Resolution

Before filing a claim, you agree to contact us at [email protected] to attempt to resolve the dispute informally.

13.3 Arbitration

Any dispute arising out of or related to these Terms or the Service that cannot be resolved informally shall be resolved through binding arbitration in accordance with the Arbitration and Conciliation Act, 1996, except where prohibited by law.

13.4 Class Action Waiver

You agree that any arbitration or proceeding shall be limited to the dispute between you and us individually. To the fullest extent permitted by law, you waive any right to participate in a class action lawsuit or class-wide arbitration.

14. Termination

14.1 Termination by You

You may terminate your account at any time by contacting us or using account deletion features in the Service.

14.2 Termination by Us

We may suspend or terminate your access to the Service immediately, without prior notice or liability, for any reason, including but not limited to:

• Breach of these Terms
• Fraudulent, abusive, or illegal activity
• Extended period of inactivity
• Request by law enforcement or government agencies

14.3 Effect of Termination

Upon termination, your right to use the Service will immediately cease. We may delete your account and User Content in accordance with our data retention policies. Provisions of these Terms that by their nature should survive termination shall survive, including ownership provisions, warranty disclaimers, and limitations of liability.

15. General Provisions

15.1 Entire Agreement

These Terms, together with our Privacy Policy and Refund Policy, constitute the entire agreement between you and Scribbes regarding the Service and supersede all prior agreements and understandings.

15.2 Severability

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions will remain in full force and effect.

15.3 Waiver

Our failure to enforce any right or provision of these Terms will not be deemed a waiver of such right or provision.

15.4 Assignment

You may not assign or transfer these Terms or your rights hereunder without our prior written consent. We may assign these Terms without restriction.

15.5 Force Majeure

We shall not be liable for any failure or delay in performance due to circumstances beyond our reasonable control, including acts of God, war, terrorism, riots, embargoes, acts of civil or military authorities, fire, floods, accidents, pandemics, strikes, or shortages of transportation facilities, fuel, energy, labor, or materials.
